Enterprise registration

On July 23, 2026, the Government issued Decree No. 296/2026/ND-CP on enterprise registration, amending Decree No. 168/2025/ND-CP (“Decree 296”). Decree 296 took effect as from 23 July 2026.  

Below is a summary of some of the new provisions of Decree No. 296. 

1. Company members are prohibited from acting as nominees for others to contribute capital to an enterprise 

Article 1 of Decree 296 sets out the principles for handling enterprise registration procedures as follows: 

Accordingly, company owners, shareholders, and members must fully comply with the regulations on contributed assets under Clause 2, Article 34 of the 2020 Law on Enterprises, and must not act as nominees for others to contribute capital to an enterprise. 

2. Types of documents exempt from resubmission when registering a business 

Clause 2, Article 1 of Decree 296 stipulates the documents that are EXEMPT FROM RESUBMISSION when registering a business from July 23, 2026, including: 

Copies of the Certificate of Enterprise Registration, Certificate of Cooperative Registration, Certificate of Household Business Registration, Tax Registration Certificate, Investment Registration Certificate, documents from the investment registration authority approving capital contributions, share purchases, or capital contribution purchases by foreign investors or foreign-invested economic organizations, establishment and operation licenses or copies of approval documents from the State Securities Commission, legally effective court decisions, and other documents in the business registration dossier as prescribed by the Law on Enterprises 2020 and Decree 168/2025/ND-CP. 

3. Adjust regulations on procedures for online business registration via electronic information networks 

Specifically, regulations on the sequence and procedures for online business registration via electronic information networks. 

Accordingly, the applicant logs into the National Public Service Portal or the National Identification Application using an electronic identification account to access the National Business Registration Information System. The applicant carries out the business registration procedure according to the process on the National Business Registration Information System.
